Director Ethics

The Director Code of Ethics sets forth the policy and standards concerning ethical conduct for Directors of Bancoii. They are expected to act in a manner consistent with the highest standards of personal and professional conduct: to be fair, honest, and trustworthy; to comply with applicable laws and regulations; to preserve confidential information; to avoid conflicts of interest or the appearance of conflicts of interest; and to protect and promote the proper use of Bancoii's assets.

Directors are encouraged to bring questions about particular circumstances that may involve one or more of the provisions of this Code to the attention of the Chairman of the Board and the Chairperson of the Corporate Governance Committee, who may consult with inside or outside legal counsel as appropriate.

Directors who also serve as officers of Bancoii are also subject to Bancoii´s Code of Business Conduct and Ethics governing the business conduct of Bancoii Bank employees.

Bancoii Policy for Handling Complaints

The Audit Committee of the Board of Directors of Bancoii Bank has approved a Process for Handling Complaints.

Shareholders, employees and other interested parties who desire to express a concern relating to accounting or auditing matters should communicate directly with Bancoii’s Audit Committee in writing addressed to “Audit Committee Chair,” Team Members’ complaints submitted to the Audit Committee using this process must pertain to accounting or auditing matters.

Shareholders and other interested parties who desire to communicate directly with Bancoii’s independent, non-management directors regarding matters other than accounting or auditing concerns should submit such communication in writing addressed to “Lead Director,” Bancoii.

Confidentiality

All complaints must be in writing.
Complaints may be submitted anonymously.
Complaints may be signed, with or without a request for confidential handling.
